Terms of Service

1. Services

End Legacy ("we", "us", "our") provides custom software development services. Our standard engagement includes:

• Minimum 100 hours of development work
• One week (Monday-Friday) on-site or remote engagement
• Custom software built to your specifications
• Source code delivered at the end of the rental term

2. Pricing & Payment

Our pricing structure is as follows:

• Hourly Rate: $250/hour
• Minimum Engagement: 100 hours ($25,000)
• Deposit: 50% due at booking to secure your week
• Balance: 50% plus any travel costs due at project completion
• Monthly Rental: $25/hour-spent/month after engagement
• Contract Term: 3 years, after which source code is yours

3. Money-Back Guarantee

We stand behind our work. If we are unable to deliver at least one useful, working tool during your engagement week, your deposit will be refunded in full. This guarantee is subject to:

• Reasonable access to necessary information and stakeholders
• Clear communication of project requirements
• Timely feedback during the engagement week

"Useful" is defined as software that provides tangible value to your business operations and functions as specified.

4. Intellectual Property

During the 3-year rental period:

• You have full rights to use the software for your business operations
• We retain ownership of the source code
• We will not share, sell, or reuse your specific business logic or data
• Generic components may be reused in other projects

After the 3-year term, you receive:

• Complete source code ownership
• All associated documentation
• Freedom to modify, extend, or transfer as you wish

5. Monthly Rental & Support

The monthly rental fee includes:

• Hosting and infrastructure management
• Security updates and maintenance
• 10 hours of consulting/support per month
• Bug fixes for issues caused by our code

Additional development work beyond the included hours is billed at $250/hour.

6. Cancellation & Refunds

• Before engagement week: Full deposit refund minus any travel costs already incurred
• During engagement: Prorated refund based on work completed, subject to our guarantee
• Monthly rental: Can be cancelled with 30 days notice; no refunds for partial months

7. Confidentiality

We treat all client information as confidential. We will not disclose your business information, processes, or data to third parties without your consent, except as required by law.

8. Limitation of Liability

Our liability is limited to the fees paid for services. We are not liable for indirect, incidental, or consequential damages, including lost profits or data loss. You are responsible for maintaining backups of your data.

9. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email. Continued use of our services after changes constitutes acceptance of the new terms.
